Terms of Service
These Terms govern access to and use of Termn's agreement operations services, websites, APIs, and related support.
1. Agreement to these Terms
Termn Inc. (“Termn,” “we,” or “us”) provides the Termn service (the “Service”). By creating an account, using the Service, accepting these Terms through the Service or an authorized email workflow, or accessing the API, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization.
2. The Service
Termn helps authorized users organize agreements, participants, documents, gates, actions, evidence, notifications, and records. The Service is a workflow and recordkeeping tool. It does not provide legal, financial, tax, fiduciary, escrow, or professional advice, and it does not replace the review, authority, or judgment required for your matter.
Trust-funding features coordinate administrative work for an already signed trust from instructions supplied by you or your professional. Termn does not create, amend, interpret, execute, notarize, or certify a trust, deed, beneficiary designation, assignment, entity instrument, or tax election; choose which assets belong in a trust; provide title, legal, tax, beneficiary, investment, fiduciary, or suitability advice; or guarantee probate avoidance. A completed task or Termn completion record does not by itself prove legal transfer or professional approval.
3. Financing workflows and money movement
Financing features are issuer-directed administrative tools. You, not Termn, are responsible for your offering, investors, terms, exemptions, disclosures, approvals, filings, eligibility decisions, and professional advice. Termn does not find or solicit investors, recommend or negotiate investments, act as a broker, dealer, placement agent, law firm, investment adviser, cap-table system of record, custodian, or escrow agent, or take possession of investment proceeds or securities.
A connected bank account does not itself authorize a transfer. Funding requires the separate authorization shown in the applicable workflow and is performed, when offered for the transaction, by an approved third-party provider under its terms and eligibility requirements. Funding may be limited, delayed, returned, suspended, or unavailable and may require separate program terms, verification, and approval.
4. Accounts, credentials, and authorized use
Keep your account, email access, API tokens, signing links, and other credentials secure. Do not share credentials, bypass access controls, probe another customer's data, interfere with the Service, or use the Service in violation of law or another person's rights. You are responsible for users and integrations you authorize, and for promptly revoking access that is no longer needed.
5. Your content and instructions
You retain your rights in the documents, participant information, instructions, and other content you submit to the Service (“Customer Content”). You grant Termn the limited right to host, process, transmit, and display Customer Content solely to operate, secure, support, and improve the Service as permitted by these Terms and the Privacy Policy. You are responsible for having the rights, notices, and consents required to submit Customer Content and direct the workflows you configure.
6. Fees, billing, and taxes
Paid features, plans, and one-time fees are described at the time of purchase. You authorize applicable charges and are responsible for taxes other than taxes based on Termn's income. Fees are non-refundable except where required by law or stated in a written order or the Refund Policy. We may suspend paid features for overdue amounts after reasonable notice.
7. Availability and changes
We work to keep the Service available and secure, but availability can be affected by maintenance, providers, networks, and events outside our control. We may change, suspend, or discontinue parts of the Service.
8. Confidentiality and feedback
Each party will use the other's non-public confidential information only to perform under these Terms and will protect it with reasonable care. This does not apply to information that is public through no breach, already known without duty, independently developed, or lawfully received from another source. If you provide feedback, you grant Termn a non-exclusive right to use it without restriction or compensation.
9. Intellectual property
Termn and its licensors retain all rights in the Service, software, documentation, and branding. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service during your authorized access period.
10. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Termn disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. You remain responsible for reviewing the underlying agreements, approvals, and instructions before acting on them.
11. Limitation of liability
To the maximum extent permitted by law, Termn will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities. Termn's total liability arising from the Service will not exceed the amount you paid Termn for the Service during the twelve months before the event giving rise to the claim.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or end access if use presents a security risk, violates these Terms or law, or creates harm to Termn, other customers, or third parties. Terms that by their nature should survive will survive termination.
13. Changes to these Terms
We may update these Terms from time to time. The current version is published here. Material changes will be presented through an appropriate Service or email notice before they apply where required by law. Continued use after the effective date means you accept the updated Terms.
